Overview of Role

Westbridge Capital is hiring a Legal Counsel to join its legal team. The role focuses on M&A and strategic transactions, along with a range of general corporate, governance, financing, and compliance matters across the business. The successful candidate will be involved in all stages of the M&A process, including acquisition planning, due diligence, drafting and negotiating transaction documentation, supporting financing arrangements, and assisting with post-closing integration. The work is primarily transactional and fast-paced, offering meaningful responsibility, mentorship, and opportunities to develop both legal and commercial expertise.


Key Responsibilities

  • Support domestic and cross-border M&A transactions, including NDAs, transaction structuring, legal due diligence, definitive agreements, closings, and post-close integration
  • Draft, review, and assist in negotiating acquisition, transactional, and commercial agreements
  • Advise on corporate governance and compliance matters, including board governance, maintenance of corporate records, internal policies, and controls
  • Support private financing transactions, including equity investments, credit facilities, and related financing arrangements
  • Assist with securities law and disclosure matters (as applicable) in connection with corporate and transactional activities
  • Identify and support in managing legal and regulatory risks, and work closely with management on acquisitions, integration, and other strategic initiatives


Ideal Candidate

  • 3+ years of corporate law experience, ideally gained at a leading law firm or comparable environment
  • Solid grounding in M&A and general corporate transactional work, including drafting agreements and supporting deal execution
  • Comfortable taking ownership of discrete workstreams in a fast paced, deal driven environment
  • Strong legal judgment, analytical skills, and attention to detail
  • Clear and practical communicator with a commercial mindset


Requirements

  • Law degree (J.D., LL.B., or equivalent) from an accredited law school
  • Called to the Alberta Bar and in good standing with the Law Society of Alberta
  • Approximately 3+ years of relevant experience in corporate law, including exposure to M&A, financing transactions, or securities related matters
  • Strong communication, documentation, and problem-solving skills
